Study On Legal Supervision On Capital Flow During Reverse Acquisition In China

In recent years the demand for reverse acquisition in our country becomes exuberant. In the new economic conditions and regulatory system, reverse acquisition presents different forms. Because of obvious circumvent of the existing legal supervision, the capital flows during reverse acquisition are beyond regulation supervision. The situation has aroused widespread concern. Through analysing the modes and causes of reverse acquisition and the influence of supervision gap on capital flows in china, the author has a thorough research about the legal supervision issues on capital flow during reverse acquisition in china combining his work experiences. These method are used in the paper: historical research, literature study, case study and so on. The whole thesis can be divided five parts.The first part gives a brief overview on capital flows during reverse acquisition. Meanwhile, the thesis introduces the process of reverse acquisition and the procedure of capital flow during reverse acquisition. In the end the author elaborate the relation between reverse acquisition and capital flow. The second part set forth the historical evolution of regulation supervision on capital flows during reverse acquisition and causes. Furthermore, the author analyse the newest concerned laws. The author analyses the forms of regulation supervision on reverse takeover in the next part. Using case study the author testifies that the avalible ways of reverse acquisition are beyond the existing legal supervision. Furthermore describes the situation of uncontroled capical flow during reverse takeover, harmfulness; and existing risk about it. The fourth part elaborates the standing issue on legal supervision during reverse acquisition in china. The last part puts forward deliberate suggestions on consummateing the existing legal supervision on capital flow during reverse takeover.
