On Shareholders's Right Of Inspection

Under shareholders'right to information, shareholders'right of inspection is an important access for shareholders to get the information regarding companies. Legislations of different countries have different set of rules governing shareholders'right of inspection. The legislation of our country is too weak to make sure the shareholders have reasonable access to companies'information.This thesis is composed of three parts, Introduction, Main Text, and Conclusion. The Main Text itself can be divided into four chapters.Chapter One is the comprehensive research on the foundation, the characteristic and the function of shareholders'right of inspection. Through the comprehensive research, the purpose of this thesis will be well identified.Chapter Two is research on shareholders'right of inspection with a comparative perspective. The comparison will be made between the shareholders'right of inspection on common law and on statute. Legislations of US, UK and Japan will be analysed in this chapter. Then through comparison between legislations of foreign countries and legislation of our country, the shortcoming of our country will be clarified.Chapter Three is research on limitation of shareholders'right of inspection. The limitation is classified as subjective limitation and objective limitation. The objective limitation, so called limitation by"proper purpose", will be the key part of this chapter. The analysis on"proper purpose"will set up a guide for courts to deal with issues regarding shareholders'right of inspection.Chapter Four is research on system designing of shareholders'right of inspection. The discussion is involving subjects, objects, procedure and remedy of shareholders'right of inspection. The problems existed in legislation and practice will be clarified, and also the suggestions will be stated in this chapter.At the end of this thesis, all the fruit of researches will be stated in Conclusion.
