Private equity fund in our country is still in the have not yet ripe stage, existing corporations, trusts, limited partnership system of three main types. For private equity fund in China's development process finally choose which organization form still not clear. But in private equity funds the prosperous development of the United States, now its main the form of organization is limited partnership system. Although 2006 revised the partnership enterprise law for our private equity funds with limited partnership with a clear legal basis, but just simply provides limited partnership enterprise this organization form,but there is no special provision for limited partnership private equity fund.
