The Research Of Dormant Shareholder Equity Trust

Although there is not the concept of dormant shareholder in the "Company Law" in China,there are many disputes in practice because of undisclosed investment .One famous philosopher in western called Hegel once said,"Existence is reasonable".Since the the disputes are so many in practice ,it would be necessary to do systems analysis on the issue of orminal shareholder and try to find a way to balance the interests and to resolve the disputes.Nowdays the investment and financing ways increasingly diversified,and the trust industry has been gradually prospered. Could equity trust system be used to solve the disputes caused by undisclosed investment? In practice equity trust system in what areas can be successfully applied? Does our existing equity trust system have any defects? What needs to be improved?This paper was based on looking for the answers to the above questions. It made a system statement and discussion on the topic of nominal shareholder equity trust question .Combined with the legislation of our country and market practice in equity trust system,it made a try to put forward the suggestions, hoping to improve the development of our equity trust industry.This text is divided into three chapters:Chapterâ… is mainly about the concept of dormant shareholder,then on the base of analysis of dormant shareholder's legal status in equity structure in the company,it introduce the equity trust. All these are important for the discussion of equity trust behind. Chapterâ…¡presents the concept of the equity trust, and the differences among equity trust ,voting rights trust, and equity agent. In the second chapter the problems of dormant shareholder and equity trust will be discussed together. Equity trust system can be used to reconstruct the relations of the company.There comes a conclution that the equity trust system can protecte the interests of the dormant shareholder, and promote the clear relationship. The equity trust system has more advantages than equity agent and lending system.Chapterâ…¢is discussed on the base of chapter 2. It mainly presents the successful practices of shareholder trust system in China.Equity trust system application in practice is quite widespread. Limited to energy and knowledge, in this chapter I just expond the three aspects,which are worker trust shareholding, state-owned assets trust and foreign investment in our country.The last part of the paper is to discuss the development of equity trust system in China.It focuses on the deficiency ,and try to make some suggestions for trust property registration system and the development of the trust industry .
