Coexist With Insider Trading And False Statements Of Legal Issues Analysis

False Statements, insider trading and other illegal behavior problems in the protection of investor interests, is a recent focus of theoretical and legislation research. Establishing a good legal environment of the securities market, promoting the improvement and development of China's securities is of vital significance. However, compared with the relative complete with foreign securities market, China's securities market relative legal system theory research startting late.With the continuous development of China's securities market maturity, the securities market happened a series of false statements and insider trading and other illegal behavior led to protect the interests of investors in recent years.This paper first analyses some problems caused by the "Hang Xiao Steel Structure Case", including Hang Xiao company involved with false statements behavior and inside trading and liability subject,specifically with some related problems of the false statements and insider trading which have existed concurrence. Then analysed the domestic and international regulation of the false statements and insider trading, and the same time,preliminary discussed and researched the concurrence.Finally put forward the new problems by the case,namely the false statements and insider trading concurrence. This part is the focus of the article, first pointed out the level of the current legal provisions and the deficiency, particularly pointed out that the different principle with the false statement and the insider trading.On this basis, the court of false statements and insider trading involves several questions including how to affirm the plaintiff and defendant and how to affirm the loss compensation range and the calculation method and lawsuit manner when take concurrence and puts forward some countermeasures and Suggestions,Hope in the future helpful in such with court,and promote China's securities markets be stable and healthy development.
