Inside Trading

There has been a lot of problems since the construction of the stock market. In particular, the phenomenon of inside trading frequently in recent years, and disrupted the stock market management order seriously, impair the majority of investors'legal rights.With the development of stock market constantly, inside trading may face more new situations, it is essential to strengthen the legal regulation.This paper has four parts as follows:The first part describes the legislative history, the concept and the nature of the crime of insider trading. Studying three revisions about inside trading, many scholars'views about the concept of inside trading, I put forward my views.The second part discusses the crime constituted and the nature of the crime of inside trading.Discusses the subject,subjective,object,objective of the crime of inside trading in carefully.Focuses on controversial issues.Such as"how to define the inside information","how to define express or implied behavior","use element is necessary or not",etc.Of the above, all aspects of the crime of inside trading is more clearly. It can put forward a targeted proposal.The third part has a detailed analysis to the inside trading. This part discusses inside trading constitute crime or not,the differences between this crime and that crime.At the same time,put forward how many crimes about inside trading.The actor hopes to define the limitation of inside trading.In part IV, on the basis of the above article, proposed legislation errors, the legal advice of inside trading. In this section, modifications and improvements are made according to the current situation and the shortcoming of China's legislation as well as legislative experience of foreign countries, Hong Kong, Macao and Taiwan.
