With the development of limited partnership in china, it become more and more inportant to protect creditors'benefit.Using the comparative and historical methods, the thesis researches the protection of creditor's benefit of limited partnership. It analyzes the necessity of protecting creditors'benefit firtly, then researches the legislation about creditors'protection both in civil law and common law countries, and at last proposes some suggestions to perfect the legislation of creditors'protection based on analysis the legal protection in china.This thesis is divided into four parts.
