The Disputable Issue Of Company Dormant Investment

In today's pluralistic economy society, with the development of the company , for some various reasons, the actual investors begin to register as a company in the namesof another person instead of their own names,and as a result,the names of the actual investors are not written on the business register books and other documents. In this situation,the actual investors are known as "anonymous investors" or "dormant shareholders". And that investment is known as the "Company dormant investment".On the opposite of the dormant shareholders,the person who is registered on the document is called"significant shareholder".The phenomenon of dormant investment is very common in China's economic life for a long time, but for various reasons our current legislation does not make it clear. This article will attempt to research on the dormant investment-related issues in the situation of the absence of law, and offer some suggestions for the disputation. This article is divided into six parts.The first part is about the general purpose of writing , the current research situation in China and abroad, and the objectives and conclusions that we hope to achieve; the second part of the article is about the concept of dormant investment company, the causes and major types; thethird part is a summary of the legal relationships which are associated with dormant investment ; the fourth part describes the disputable status and problems of dormant investment company ; the fifth part is about the current legislation of dormant investment;and the last part offers suggestions for the disputation of dormant investment. As the current legislation on dormant investment companies is not clearly defined, and actually many doubt exists , I hope my article will give some helpful advice to the judicial practice.
