Based on the theory of associated corporation, traditional corporation law requires plural shareholders when setting up company. With the development of economy, however, some investors set up essential one-man company evading the requirement of company law. By reference to this situation, many countries accepted one-man company in legislation. Korea accepted one-man company when revised corporation law in 2001, and the revised edition of Chinese company law stipulated one-man Ltd. company in a special section. So this dissertation will compare the company law of Korea with China and analyze the advantage or disadvantage of one-man company. The dissertation comprises of four chapters: Chapter I is a summary of one-man company and mainly introduce its history and development, its definition, character and class and its related legislation. Chapter II concerns on the advantage and disadvantage of one company. This chapter mainly analyzes the impact of one-man company to the traditional idea, and the author considers that associated corporation is not the essential character of company. Chapter III focuses on Chinese legislation on one-man company. Chapter VI concerns on the related system construction.
