In the new state-owned assets management system, as the concrete representatives of the state-owned assets, the state-holding companies which are authorized by State-owned Assets Supervision and Administration Commission became an intermediary between State-owned Assets Supervision and Administration Commission and the companies and play an important role in the system. The effective operation of the state-holding companies is the key segment to keep and enlarge the values of state-owned assets. At present, the frame of the state-holding companies has been set up. But there are still many problems, such as the corresponding legal systems have not kept up with the practices of the state-holding companies; the three administrative levels in state-owned assets management system can't distinct their position, rights and duties; the establishment of the companies has the administrative style; the aim of operating capital is obscure and the commercialization and specialization are in low level; the structure of corporate governance is imperfect ;and the problems, such as the insider' control, are existed. All the problems above violently affect and restrict healthy development of the state-holding companies and the state-owned economy. The paper take them as the research background to study how to set up reasonable and standard state-holding companies for keeping and enlarging the values of state-owned assets, improving the operation efficiency of them and promoting the development of Shaanxi economy.Firstly, the paper theoretically analyzes the basis of the state-holding company's existence and development by reviewing their history about emerging and developing from the fundamental concepts and features.And then, it absorbs the experiences to conduct the reformation of the state-holding companies in Shaanxi through analyzing and summarizing the problems emerged during the developing period of the west; and based on studying the present conditions and troubles of the state-holdingcompanies in Shaanxi and referring other state-holding companies's formation mode in China, the paper provides the principals to set up the state-holding companies in Shaanxi. According to them, it gives the aim and the consideration for the state-holding companies: at first, to carefully plan the industry distribution and quantity to bring the sate-owned assets into play; at second, to accurately define the aim, core business and operator's responsibilities; thirdly, to detailedly draft the plan to make clear all the relative problems; at fourth, to take advantage of the stock owner-ship for operation.Next, the paper design the way to set up state-holding companies in Shaanxi: the first one is to change the former administrative agencies and administrativelized companies into the state-holding companies, the second one is to set up some new state-holding companies by breaking the trade limits, the last one is to change the large corporations into state-holding companies. So, the paper points out that: the state-holding companies should be fully admitted in Shaanxi province.At last, the paper provides the following measures against to the disadvantages of Shaanxi state-holding companies: firstly, to understand functions respectively and standard the relationship between inside and outside; next, to strengthen the corporate governance; and thirdly, to establish the encouraged and controlling system; at last, to set up the evaluating system for keeping and enlarging the state-owned assets.
