Study On The Governance Structures Of Securities Investment Fund

The existing problems in the governance structures of Chinese securities fund have been severely barring the further development of Chinese securities fund though it has been developing very quickly and achieving a lot in recent years. The author analyzes the related problems after much reading and comparing. This essay comprises three parts: preface, text and ending. The text consists of three chapters: The first chapter mainly defines the relevant concepts, including the fund, securities investment fund, trust fund and corporate fund, open-end fund and closed-end fund. Meanwhile, the author limits the issue being discussed. The second chapter discusses the related theory and foreign advanced experience of the governance structures of securities investment fund, which presents the different model of governance structures of securities investment fund of different countries around the world, like the model of the United States, the model of the United Kingdom and the model of Japan. Also, this chapter represents the theory of governance structures of managing company. The third chapter concerns on the perfection of the governance structures of securities investment fund in China. We should take the following measures: trying to establish corporate fund in China, perfecting the governance structure of Chinese trust fund, which includes changing the way of choosing fund trustee and perfecting the structure of director board in the managing company, strengthening the system of independent director and the board of supervisors, solving the conflict among fund holder, stock holder and managing office of managing fund company.
