Enterprise M&A as the main way to grow up in the enterprise outside, is fast and effective expansion means, and have promoted system improving , industry upgrading and rational distribution of the capital structure. But the success rate of the enterprise M&A is not high, it brings enormous losses for the enterprise and country.Two cases--annexation and dilation of CIMC and EnBei Kangmerged Phoenix are analyzed in this paper. In the author's opinion, the main reason for the success of the former is that it did science decision analysis, chose suitable targeted company and carried on effective risk management, the M&A and integration and the cost management, while the main reason for the failure of the latter is that it didn't fully assess various kinds of risk factors existed before merging. In the two cases, the major factor of success or failure in the enterprise M&A is whether effective risk management is carried on. Enterprise M&A has project characters so that we can regard it as a project to manage. The author has stood in the point of view of merging enterprise and expatiated the process of project management of enterprise M&A, has further investigated the risk management directly related to whether the project succeeds or not.
