When the time of knowledge-based economy ages come, human resources have become the most priceless wealth of any corps. The competition of enterprise in the market is in the mature of the competition of the talents. Especially, after our fatherland obtained the entrance to the WTO. An important way of how to encourage executives' income is to build a rational and effective system of encouragement and binding. In present the annual-salary system and the stock-right encouragement model represent two material encouragement patterns for the enterprise management prevalent in developed countries. Some of our enterprises are conducting tests of the two patterns. As an encouragement and binding method, yearly payment system of executive can solve the benefit conflict between owners and managers. As a helpful exploration of the enterprises' income distribution system of our country to implement managers' yearly payment system of the enterprises, it has received the extensive concerns of various circles of society for years.This article draws some experiments and problems from the system of annual salary conducted in enterprises . It also gives practical suggestions about how to make the system better and make it play a stimulating role in enterprises. Firstly, retrospect to the theories on the system of encouragement and binding in order to make a further study. Secondly, the article focuses the research an the basic knowledge of yearly payment system of executive. It consists of the advantages and problems that the salary system of executive has in this chapter. After compared with the practices in other countries, the article affords a solution to build an effective system of encouragement and binding. Finally, we design a new model to the managers' yearly payment system that is exercisable and make explanations to the model combining with the reality of AB Company.
