Research On Corporate Manager System

With the position's improvement of HR capital in the capital constitution, and the voice of heighten for the economic democracy, the management in the corporations, as the important carrier of HR capital, has played the significant role in the social life. However, the research of company's governance seldom related to the system of management, which was apart from the position of management in the social life. In recent years, the scandals of companies and the disputes between managements and bosses happened frequently, which relates to the system of management greatly. This paper makes the research of management from the angle of Corporate Law. Thanks to the specialty of management system, the paper also concerns about Management, Economics and some knowledge of Labor Law. This paper can be divided into four parts. The first part is the outline of the system of management, which introduces its history, developing trend and compare with the concept of manager. The second part makes the comparative research of management from several angles, followed by the promise of comparative research for the setting mode and power roots of management. The third part introduces the encouraging and binding mechanism for the management. The encouraging mechanism introduces and analyses the present popular material encouraging mechanism, and points out its advantage and disadvantage. The binding mechanism analyses the duty of care and loyalty and other binding mechanism. The last part makes the comments and self-criticism of the system of management in our country. On the basis of comment for the system of management in the Corporate Law, this paper analyses mainly the existing problems and gives some legislative advice, established in the local resource and the legislative experiences in other countries.
