Legal Research Into The Protection Of Creditor Benefit Within Enterprise Mergers

Problems exist in the protection of creditor benefit (CB hereinafter) within enterprise mergers due to the weakness of market regulation and law stipulation. Starting from the legal knowledge of enterprise merging and by examining the essence, range, and procedures of CB protection, this thesis carefully analyses the existing problems in this field in China and puts forward a series of proposals about how to better protect CB in future practice so as to drive enterprise mergers more positively and effectively.This thesis is structured as follows: Introduction. The first part introduces the legal connotation, features and methods of enterprise mergers. The second part discusses over CB protection inside enterprise mergers from aspects of theoretical foundations, range and procedures, etc. The third part analyzes in detail the existing problems in CB protection within enterprise mergers in China and sets forth proposals for betterment.
