This paper analy the besic and supervisory orgon in law theory and practise. It will research the good and shorting through comparing the independent director and auditor of the common law country to the board of supervisors of the continental law system. These analysis may help us to realize the supervisory condition of our corporation ,especialy the independent director involved in our corporation occuping the most supervisory statue with the surveillant . Therefore, the paper think that choosing the supervisory system should be on the base of corporasion practise, particularly sharing big corporation or small corporation, limited company or shorcking share corporation. The opnion of the paper is that the corporation should be given more right to choose the proper supervisory system.. Only do this, the supervisory right will change the lowest cost into the most profit.
