With the advance of state-owned enterprise investor system, the state-owned enterprise's reform develops in depth and enters a surmounting stage from sixteenth national congress, especially from the 3rd session of the 16th congress of the CCP. It is an urgent problem to explore the logical brace and feasible operation ways, which investor system depends on, to establish a supervision system on state-owned assets with Chinese characteristics. In this connection, the paper basing on modern enterprise contract theory creatively interprets the modern enterprise framework from the angle of equity contract equivalence and looks on it as later contents' keynote. It analyses difference of America & Japan's enterprise property rights system arrangement from equity contract equivalence's angle. It explores realization paths that break through the hard core of state-owned capital's personification proposition from macro & micro-interface in state-owned enterprise surmounting stage. At the end it demonstrates parts of points by analysis of some typical and successful case.We think that the key point of our state-owned enterprise's reform is to establish equity contract equivalence binding. And if it is treated as breakthrough point of state-owned capital's personification, not only the inherent profit-making function decreed by fate of the state-owned capital returns to its original shape in accordance with essential requirement of the corresponding theories of economics, but also it is possible to reestablish particular role's logical ideology and code of conduct in the property right relationship conception of ownership in the condition of our China state-owned capital sharing together.
