During the course of the development of company's system, all the time general meetings of stockholders possess and wield the power of the appointment and the deposition of directors. With the gradual progress of the principle that ownership separates from power of management, which is followed by company's system, general meetings of stockholders come to lose the central status, and yet directors manage and regulate companies, acting as more and more important roles in the control structure of companies. Under the circumstances, on the one hand it is more difficult for general meetings of stockholders to wield their functions, on the other hand it is more significant for optimizing the control structure of companies, asserting and achieving shareholders' rights and behalves, protecting creditors' behalves and making society's steady operation possible. However, there is only seldom study that has been made on the deposition of directors in our country's academic circle of company law. And the mass of it is about the appointment mechanism of directors. So in view of the defects of our country's legislation and practice, this paper aims at making profound study, taking advanced legislative experience in other countries for reference, and putting forward comprehensive, practical suggestions on how to perfect the legal system of the deposition of directors.The paper is composed of five sections.
