Research On Shareholder's Derivative Suits

Shareholder's Derivative Suits shall be a significant system formulated by the main market economy state of the world. It has special functions on standardizing activities of substantial shareholders and directors of companies and maintaining small and medium shareholders' rights and interests. Company Law of China has no relevant stipulations on this system, which leads to substantial shareholders and directors of many companies abusing their rights. There are cases on shareholder's derivative suits in the judicial practice, but most courts are perplexed in accepting and adjudicating relevant cases. In this dissertation, I will put forward concrete opinions on establishing shareholder's derivative suits system, on the basis of analyzing and comparing some main state and region's shareholder's derivative suits system, combining China company's operating condition and present status in the action, on the clue that The Supreme Court promulgates relevant judicial interpretation on Company Law (Exposure Draft).
