A Study On The Law System Of The Company's Legal Representative

The law system of the company's legal representative is deemed as one of the "features" of the company law of China, and it is discussed by lots of scholars in China in resent years. But there is still few articles in academe to study deeply on it, especially after the new company law of China was issued, there is no paper to analyze the changes and the new questions arisen from the law system of the company's legal representative of company law of China. The most important reason to study on this field is that: the law system of the company's legal representative is the result of the combination between the company law system and the Chinese traditional system of society, and its reformation can be regarded as an epitome of the reformation of the whole old company law system of China, and the issues that how to get rid of the bugs and preserve the good qualities of the law system of the company's legal representative, and that how to harmonize the relationship between its reformation and the reality, are in accordance with the issues faced by the reformation of the whole company law system, so it has some significations as a sample of reformation of the law system.This dissertation is based on the foregoing studies of other scholars and the new amendment of the company law, and is divided in three sections:In section one, it first reviews the history of the legislation, and analyzes the factors that have affection on the formation of the law system of the company's legal representative, then it summarizes the status of the legislation. In section two, on the basis of the above paragraphs, through comparing various of definition of the company's legal representative, it gives a new definition on it, and as the company's seal is always deemed as a company's representative thing in practice and has close relationship with the company's legal representative, it analyzes...
