At present , issuing and trading securities in mainland China`ssecurities market is dematerialized.This is a change from traditionalsecurities to modern one.Investors hold their interest through theirelectric account. The form of securities is changed under dematerializeenviroment.So investors` right and obligation changed.We should pay moreattention to this.I realized that the investors` rights and obligation have changed underdematerialize enviroment .So I choose this subject.Dematerializedsecurities has very closed contact to securities depository andclearing.But in our law,securities depository and clearing has only littlearticles.Because securities depository and clearing is a high-technicalarea, people can`t investgate it deeply only by tradition mathod.If we treat"securities entitlement"by tradition way ,we wiil found we are lag ofmany countries.This article included depository and holding securities and so on.Paymore attention to investors` special formation of pledging andownership.And conclude that the change of formation inevitably lead to thechange of rights.The article based on some facts and use comparable mathod .Contactingwith the study of mainland China`s securities entitlement,analysing thesecurities enetlement under demateralize enviorment .
