The fundament of the corporate law system is the corporate caoital system.One main purpose of the corporate law is to provide a legal frame within which this system can operate and function effectively. Though there has been rules about the system in China's Corporate Law, they cannot fit in with the current trend anymore. There are two reasons. First, though the statutory capital system and the there capital principles are strictly abided by in China's Corporate Law, the social reality is quite the difference False report of registered capital, false investment, illegal distribution are widespread phenomela. Second, though we are seeking for the security, efficiency and fairness, instead of the ideas order being established, the basic values of the system are neglected. From above, we can see that it is necessary to have our mind Updated to the age and to reform the current cooperate capital system . Centered on the corporate capital system, this paper gives an explanation of some basic concepts makes a close study into the international background and current fendancy of the reform of the system. The author also points out the flaws existing in China's corporate capital system, introduces a new concept "asset credibility".It is hoped that this paper would be helpful to establish a new corporate capital system which not only suits China's legal culture,but also can solve China's practical problems.
