Corporate governance has been an important topic in the legal area for decades. Recently, it also becomes a hot topic in the news media. No matter in a developed country or a developing country, corporate governance IS facing serious challenges. Whether a company can set up an effective corporate governance system will directly affect the performance of a company. It is key for the modernization of China to establish a flexible and efficient company internal control system is. Therefore, it is necessary to research on this issue not only for the development of the theories of company laws but also for the provisions of solutions to practical issues.With the social development, the company system evolves. The traditional definition of corporate governance mechanism is challenged. Corporate governance is no longer limited to a narrow area that only includes the shareholder and the directors. Now corporate governance refers to a control system that covers the shareholders and the directors, but also the employees, the creditors, the suppliers and the consumers. Corporate governance is a system to use the powers of various parties that affect the company behaviors in order to achieve the best results of a company. According to the research of the history and the current status of corporate governance, a well developed corporate governance system has the following characters: (i) multiple purposes to be achieved by the corporate governance system; (ii) using legal methods to strengthen the system; (iii) different systems are accepted in practice.This article mainly compares the mechanisms of the United States, Japan and China. The research covers the principles, rules, purposes and the development of the corporate governance system in each country.
