On The Legal Study Of Corporate Bonds Trustee System

With increasing development of bond finance, bonds trustee system is established and developed in various countries and regions for the purpose of stepping up its management and safeguarding the interests of beneficial owners. Based on a comparison of the trustee system with regard to theoretical and practical areas, legal proposals are made. With the exception of the preface, this thesis is composed of four parts.The preface mainly introduces some knowledge about corporate bond and the bondholders, and simply points out the reason of establishing the bonds trustee system in various countries and regions.In chapter 1, I analyze the basic theoretical problems of the corporate bonds trustees system. First, I discuss the origin and concept of the corporate bonds trustee. Then I explore the structure and characteristic of the corporate bonds trustee. And I come to a conclusion that this system is based on the theory of Trust Law. Second, I compare the corporate bonds trustee with the bondholder communities. Third, I point out the important function of the trustee.In chapter 2, I analyze the different legal system and theories about the corporate bonds trustee in some main countries.In chapter 3, I focus on the main body of the legal system of the corporate bonds trustee in the world and analyze the qualification and right and obligation and duty of the trustee.In chapter 4,I suggest establishing the trustee institution in our corporate law and present some proposals.
