Directors and Officers Liability Insurance (D&O) attracted attention of our people because of the domestic claims cases pinpointing listing companies appearing to be climbing up during the couple of years. From the different controversies resulted from the liability insurance contracts recently launched in the country if we deeply analyze the legal environment that such insurance type depends on existence and development, while carefully comparing with the domestic legal regulations, then it would appear to be more important than anytime else. For this, this dissertation attempts to analyze and discuss in five parts, hoping to attract more important return.In the foreword, the author tries to position D&O from the whole insurance system in order to master the general properties of their insurance. At the same time, market foundation of the existence of such insurance is also expounded, while displaying the status of research towards this question in the country.Chapter 1 mainly classifies the summary and system of the characteristics of liability insurance to carry out necessary preparation for the convenience of later discussion. This concludes that D&O should be included into one of the professional liability insurances, therefore it possesses the commonness of professional liability insurance. Carrying out discussion for such commonness helps mastering the characteristics of such insurance. Last but not the least, by resorting to the internal connection of liability insurance and civil liability for infringement of rights, we conclude that the scope of the cover of liability insurance is restricted to the defect infringement liabilities and statutory infringement liabilities of general civil liabilities for infringement of right.
