With the development of E-Commerce, E-Contract appears to attract more and more attentions. E-Contract, as one form of the contracts, is of the basic characteristics of contracts and governed by the general principles. Yet E-Contract boasts unique features resulting in challenges to the traditional judicial theories. China now has some related legislations in E-Commerce development, though inappropriate. This paper focuses on related questions and the resolutions.Chapter1 gives the concepts, features, classifications, current development and challenges to the traditional jurisdiction of E-Contract in China.Chapter2 discusses the building of E-Contract targeting all the elements in the process, covering the subjects and their capabilities, offer, acceptance, electronic agents and their legal positions, electronic mistakes and the legal liabilities etc..Chapter 3 presents the overview of legal effects of E-Contract, elaborating on electronic signature, electronic authentication, electronic evidence and format contract.Chapter 4 centers on the present legislation of E-Contract and necessary supplement in China with descriptions on the regulations of contract law against E-Contract and existing disadvantages, the adjustment of Signature Law to E-Contract and defects of current legislation and approaches to perfection.
