The Research Of China's Verification System Of Stock Pubic Offering

The verification system of stock pubic offering is the study object of this paper.The verification for stock pubic offering is one kind of government intervene,and it affects the entire stock market. The verification system of stock pubic offering is one important part of securities regulation.This article was composed of two parts .The first part is introduction,which indicates the significance of this issue, the main methods used in the study,the writing background and the main innovations.The second part is text,which is composed of four chapters,as follows.The first chapter is about the the outline of the verification system of stock pubic offering.Firstly,this paper introduces the definition and classification of stock pubic offering.Then it elaborates the definition of the verification for stock pubic offering and it's necessity.The stock pubic offering is a special civil behavior of the company,so that it is necessary that the country uses the way of verification as a lever to exert influence on it. Finally,this paper elaborates the definition of the verification system of stock pubic offering.The second chapter is about the pattern of the verification system of stock pubic offering and their comparison.The verification system of stock public offering mainly has two kinds of pattern-registration system and chartered system.This paper first explores their definition,characteristic,legislation thought and so on.Then it studies the verification system of stock pubic offering in representative countries overseas,including America,France and Germany.Finally,after comparison and evaluation,it comes to several conclusions: based on the design of the system itself, registration system is superior to chartered system. Selecting registration system or chartered system has close relation with a country's concrete national conditions.And registration system is the developing direction.The third chapter is to study the evolution and present status of the verification system of stock pubic offering in our country,which has experienced two phases.This paper first reviews the evolution of examination and approval system in our country.Then it concludes the evolution process of our country's chartered system and studies the main change of this stage.Finally,this paper analyzes the present verification system of stock public offering in our country and sum up its insufficiency.The fourth chapter is the suggestion to improve our verification system of stock public offering.Firstly, this paper indicates that registration system is the developing direction of our verification system.Secondly, based on the principle of openness and marketability of registration system,this paper makes suggestion to our present verification system of stock public offering,so that it can become a higher degree of market-oriented verification system and move in the way of gradual transition towards registration system. Finally,this paper studies the way to improve the environment of our stock market,thus it can create conditions for the reform of verification system of stock pubic offering.
