In the areas or countries with comparative developed capital markets which of operations have already run into mature phases, the proxy solicitation has been the central point in the meeting hold by the shareholders. But the practice proves that the value function of the proxy solicitation is bi-directional. Which can consolidate the monitor by the corporations, maintain the rights and interests for the shareholders, perfect the corporate governance, but also can be awry used, or lead to continue oligarchic government, or disturb the corporate management, and finally tamper with the interests of the shareholders. Therefore, how to supervise the proxy statements becomes the choice to make related law in the related areas or countries, while the information disclosure turns into the center of the supervision. This article, combing two basic principles of the proxy solicitation system and securities information disclosure system, adopting comparative analysis, demonstrative analysis, economic analysis, legal hermeneutics and comprehensive studies and so on methods to probe into the basic principle and jurisprudence base of the proxy solicitation information disclosure, it also makes comparative researches on the legal system of the proxy solicitation information disclosure in America and Taiwan region.
