Property right is the right that exercised by economic subject on the wealth. It is based on the property ownership and the derived rights including occupation, management, usufruct and disposition. In other countries, with the development of non-nationalization movement, transactions of property rights, as the means of optimization of social resource configuration, conforms to the desirability of the enterprise's capital operation, and can also accomplish the goal of capital appreciation, which greatly facilitates the effective flow of official capital in the national economy. The very core of present reform of state-owned enterprises in our country is also to preserve and increase the value of state property through marketization of property rights.When the property rights of enterprises are transacted in the market, it is quite necessary to establish an adequate guarantee system in legislation, so as to ensure the validity of the activity, preserve and increase the value of state property, and further the instant development of social economy. Besides, it can also prevent the loss of state property of enterprises. The key problem of the legislation of our country's state owned property rights transaction is the insufficiency of system. Legislation should view the significance of state owned property rights from a higher level and perspective, and coordinate the legislation philosophy in current laws. The consummate transaction legal system of state owned property rights provides the supervision of state property with laws and regulations to go by.In order to composite this paper, I have referred to many literatures as the theoretical basis. Through directly participating in the activity of state-owned property rights transaction as well as the administrative activities of state property supervision and administration sectors, I have acquired valuable practical experience. In studying the practice of other countries'legislation and generalizing the discussions on state owned property rights transaction problem in our own country, I have absorbed the inspirational aspects, so as to present the problems in the state owned property rights transaction in our country and bring forward solutions based on analyzing and studying.
