| QFII system is a kind of transition arrangement of newly arisen capital markets to realize opening outward. It has been already turned into a materiality operation stage in our country. Promoting QFII system have many positive effect, such as drawing on foreign capital to the our country, improving market participant's structure, changing the investment concept and investment strategy and perfecting the corporate governance structure of the listed companies, etc. In the meantime, we must recognize that it has some negative influences, such as the risk of the stock market and the difficulty of the market regulation. In this case, how to build up this system and its related systems faced the QFII system, how to use QFII system to carry out the standardization, internationalization of the stock market, is the problem that we need to consider, it is also the aim of writing this dissertation.This paper contains six parts. Besides foreword and epilogue, its body involves the concept and basic principle of QFII system and its development process in our country, the contents and special features of this system, the positive and negative analysis of QFII system, the arrangement of QFII system and the law system related to it. The paper also involved to some estimates on future development of QFII system in epilogue.The foreword mainly introduced topic choosing, concept definition, present research condition, research method, research pathway, structure arrangement and the creation of this paper.In first part, the writer summarized QFII system from two aspects: firstly, commenced from the concept of the QFII system, clarified QFII basic principle; secondly, reviewed the development process of QFII system of our country, analyzed the system source and development condition of QFII system of our country.In second part, the writer discussed our country's QFII system frame. This part commences from two aspects: existing law provision in our country and the compare the QFII system with new risen nations and regions in the world, summarized main special features of our country's QFII system finally.In third part, the writer discussed the positive and negative analysis of QFII system, explain the reason of existent risk, and offers academic platform and reference for contrast of constructing QFII and its related system.In fourth part, the writer discussed the system constructing related to QFII system, in order to use the advantage of the QFII system, avoid the risk that the QFII brings to us. This part involves consummate the law system of multi-layer stock market, improving the level of our country's securities regulation, enhancing information disclosure system, adjusting accountancy's standard and rebuilding stock market culture.In the epilogue, the writer discussed the development trend of the QFII system in brief and made an outlook to the future foreground of QFII system. The writer pointed out the development process of QFII system is a process that is promote and blends mutually with the related system of security market of our country.
