Research On Civil Liability Of False Statement In Issuing Securities

Regardless of the mature stock market or the developing stock market, the false statement is a universal phenomenon in it. Not only the false statement has harmed the general investors, especially young investor's benefit enormously, also is affecting the stock market's development seriously. This article is mainly about false statement in issuing securities and corresponding civil liabilities. The author analyses the defects of civil liability system in securities regulation of China and comes up with constructive advices from the substantive and the procedural point of view to improve our civil liability system about false statement.This article consists of five chapters..Chapter one is introducing the basic theory on civil liability of the false statement in issuing securities, including the false statement's definition, character, type, harmless, and the civil liability of the false statement's definition, character, nature and value.Chapter two is researching the subjects who are responsible for the civil liability of the false statement in issuing securities.Chapter three is discussing the responsibility principle of civil liability of the false statement in issuing securities. The author puts forward that when applying civil liability to those who make false statement, the responsibility principle should be different.Chapter four is about the confirmation of false statement, including the confirmation of harm consequence, causal relation and exempts the responsibility.Chapter five is about litigation mechanism of false statement. The author suggests many kinds of civil liability undertaking ways, puts forward some feasible solution to improve the system of creditor and representative action.
