It is an important means to utilize foreign investment through overseas listing and raise funds in the international capital market. In recent years, cross-board listing has become the development target of most companies. With the number of overseas listing companies is on the increase, the relative issues come into being consequently, such as legal regulations issues, information disclosure issues, corporate governance issues, the side-effects to domestic capital market and so on. Therefore, the study of indirect overseas listing will not only make the regulation to the action of capital collecting more effective and accelerate economic development, but also promote the corporation governance and development.The whole thesis consists of five parts. The forward mainly introduces the study background, research meaning and documents summary and structure of the thesis. Chapter one probes the legal concept and inner motive of indirect overseas listing of Chinese company. While chapter two introduces the history of overseas listing of Chinese company, then discusses the form and status of indirect cross-board listing of Chinese company and details the definition and characters of the shell. Chapter three chiefly studies the issues faced by Chinese company during the process of indirect cross-board listing, such as legal regulations issues, foreign exchange issues, information disclosure issues, corporation governance problems and so on. Furthermore, the thesis studies the requirement of information disclosure and corporation governance for foreign listing company asked by U.S. Sarbanes Oxley Act. The last chapter provides countermeasures to the problems faced by Chinese company during the process of indirect cross-board listing, includes improving legal supervision for indirect cross-board listing, losing the regulation of foreign exchange for overseas investment, perfecting information disclosure system and strengthen the corporate governance of overseas listing company.
