| As the world arrived into the intellectual and information economy age, human capital plays an increasingly important part in the social production. Limited company,as the most efficiently operated system, makes a strong part in the development of economy. When the growth of the economy depends deeply on the technology, the creation of it, and the bodiless, digital knowledge and information has to be the basic element of production. Human capital, the incarnation of the knowledge and information, will be joint with the material capital by the company system. So to inspire the owner of the human capital in the company best is to make him the limited liability partner.The thesis has been divided into three chapters. In chapter one, the author discusses about the definition of the human capital and its contribution briefly. Through the analysis of the characteristics of the human capital, the author thinks that the human capital is a special kind of personality. Then in this chapter, the comparative investigation of the foreign and domestic law and regulation about the human capital contribution has been done.The second chapter of the thesis is mainly dealing with the contribution of the human capital under the limited liability system in the nomological point of view. First of all, in presenting the four subject about the development of the company and the human capital itself, and about the transparency of the management of the company and the protection of the freedom of human, the author convinced that to allow the human capital to be one of the contribution form is the inevitable result in pursuit of the justice value of the law, which means that the human capital contribution is rational. Secondly, by retrospect of the capital system, the author surely recognizes that the object of the system, especially in the phase of the collection turns into the freedom of investment and the efficiency of capital. And the human capital can also meet the request of the system such as to be the material foundation to operation, to be the basis of the exertion of the shareholder's right, etc. Then in this chapter, the author addresses the feasibility of the human capital contribution by stating the governable attribute and the possibility to protect the creditor of the human capital empathetically.Chapter three mainly studies the approach to implement the human capital contribution, and it's the key chapter which includes the creative presentation of the author. In this chapter the author interprets the articles about the contribution of the company law for convenient so the human capital is included in. Then in accordance with time, namely the contribution evaluation, operation and management of the capital and the quit of it, the author addressed how to realize the contribution by using human capital. |
