After the World War Two, the venture capital industy came into its modern form as the result of the formation of American Research & Development founded in 1946. Then, especially in the 1980s and 1990s,verture capital industry made a big success in America, and was introduced by Britain, Japan and the other countries. As the important factor of growing of high-tech corporations and industrialization of technological achievements, venture capital shows a unique effect on accelerating the industrial and economic structure, perfecting the funding system of enterprises, optimizing the capital configuration and enhancing the national wealth. It has brought up a good deal of myth. The healthy growing of venture capital relies on the protection and guidance by law. Analyzing the legal relationship of the participants in venture capital industry and discussing how to rule venture capital industry by law is the main topic of this dissertation.In allusion to the situation that our legal system blocks the developing of capital venture, this article aims to the issue of setting up a healthy legal environment for the venture capital in our country by the legislation of venture capital law which will be the core of perfecting the correlative laws and regulations through timely adjustment and amendment. Observe from a unique angel of the acceleration of the venture capital's flow, the American legal system of venture capital will be taken as reference.On the basis of above consideration, the achievement of this research as follows. There are three parts in the dissertation.In the first part, I give a generally analyse the basic principle of venture capital. I introduce the course of flowing and circulating of the venture capital; I discuss the basic characteristics of venture capital and emphasize the differences from the traditional investment patterns; I sum up the functions and effects of venture capital and point out especial meaning to the development of high-tech industry. I think that venture capital legal system ought to build on market-oriented basis. And the government must carry out support on it.In the second part, through explaining the venture capital legal system in the development course of U.S.A, I analyzed legal policy that U.S.A. adopted in order to promote the circulation of the venture capital. I introduced the development overview that the venture capital legal system in our country. And mainly make a analysis of the restriction of its development of legal system in our country from the flowing of the venture capital.In the third part, beginning by legal value orientation, I detailed analysis how construct of our country legal system of venture capital. That is setting up venture capital law, revise and improve relevant laws such as securities law, law of insurance, try our best to build a good legal environment for the venture capital.
