The author illustrates on limited partnership and makes an analysis on the legislation of various major countries to support the idea of introducing limited partnership system and creating diversified investment patterns; This article has made a profound and comprehensive analysis on the advantages and disadvantages of the limited partnership in local legislation in our country and expounds on the actual existence of the present undisclosed partnership and its main issues.Currently, the legislation pattern of introducing limited partnership is a controversial issue argued by various parties. The author proposes his opinion to establish independent legislation after the analysis conducted regarding all kinds of legislations. Furthermore, the author makes a study of how to regulate such system in practice. The author is convinced that limited partnership system will be further perfected in the judicial practice with its breakthrough in legislation in our country.
