By analyzing the hazard and reason of the false representation, the basic theme of this article is to throw light on the establishment necessity of the litigation system on civil compensations. In the dissertation, the author analyzed the civil liability prescribed in the securities laws, the actuality of securities civil compensation and the relief environment on law. The author put forward that it is necessary and urgent to perfect the civil liability prescribed in the securities laws. As the emphasis, this article explains the constitution elements of false representation all-round. The character of civil liability for false representation should be tort liability, consists of faults, relations between cause and effect, damages as well. Moreover, it also gives suggestions to the perfection of the litigation system on civil compensations.
