Derivative action springs from Britain. Now it has spread to many countries all over the world and become one special way to protect the rights of a minority of shareholders. This paper starts with the origin of shareholder's derivative suit by analyzing its characteristics and expounding its main contents and limitations at present while combining the relevant legislation and judicatory practices in China. On this basis the paper brings forward the principles and concrete suggestions for establishing Shareholder's Derivative Suit System in China.
