Although the unique system of our stock exchange has made great achievements of the full speed development of our stock market in recent ten years, it also revealed some weak nesses. In order to Promote the market-based development of security market of our country and strengthen the international competitiveness, we should make the most of successful experiences in foreign countries .This thesis expatiated the structure of the stock exchange, the function of the stock exchange, the law status of the stock exchange, and the self-governance ,enumerated the practice of stock exchanges in developed countries, and summarized the short age of our stock exchanges .At last, the article provided the feasible means to perfect the self-governance of stock exchanges in our countries.
