The unincorporated association has always been highly controversy discussions in the civil law theory, and the academes and legal communities in different countries have not gained unanimous understanding about such issues as its concept, its type and so on. According to the legislation of our country, besides some scattered principled stipulations, still invisible became legal the unified standard. However, the unincorporated association as a kind of social existence, in the current social and economic life play an increasingly important role, but its legal position in the civil law still has been slow to recognize that the legislative ambiguous attitude cause damage to the economy and life. Therefore, mis article does a simple research on the unincorporated association's legal positon.This article is divided into five parts to discuss the unincorporated association's status in civil law. Chapter one introduces the concepts and characteristics of the unincorporated association, as well as different rules in the different countries. Chapter two mainly from the positive and negative aspects to demonstrated the necessary to admit the unincorporated association, firstly, the true-life existence of positive significance secondly, the reason why the traditional theory does not accept the unincorporated association is suspectable. Chapter three summarizes several views how to regulate the unincorporated association in the legislative technically and exists problems. Chapter four reflects on the theory of the status in civil law , analyses the limitedness of the existing standards, establish a new definition of civil entities standards. Chapter five advises how to reform and improve the system construction and legal norm for the unincorporated association in our country. Through a detailed analysis of the establishment of the unincorporated association, its institution, civil law responsibilities and some related issues.
