The 18th meeting of PRC National Congress Standing Committee passed the amendments ("Amendment") to "Corporation Law of PRC" on October 27th, 2005, and the new corporation law took effective on Jan. 1st,2006. The provisions of one-man company in the new corporation law are one of the shining points of the new amendments. Thus Chinese legislation definitely recognize the establishment of formal One-Man Company.But the concrete criterion of the amendments to One-Man Company is too sketchy, which inspires the author to research how One-Man Company manages to keep the profit balance of investors and stakeholders under the condition of single shareholder.Firstly the author analyses deeply the management basis theory of traditional company, and then demonstrates that One-Man Company should take different ideas and modes of management to establish a new management mode which will fully develop the advantages. Finally the author expounds some rules under the management mode of One-Man Company.The thesis consists four chapters. In chapter 1 part the author demonstrates the basic theory of traditional company management,and analysesthe management mode. In chapter 2 the author discusses the the reconstruction of company management ideas and modes, explains the importance of One-Man Company's management system construction, and puts forward the point that the stakeholder management mode should be constructed in One-Man Company. In chapter 3,the author analyses the development and situation of one-man company in China and the limitations and insufficiencies of the provisions, the new provisions of the new corporation law and its significance. In chapter 4, the author chiefly demonstrates the perfection of the legal system of one-man company in China, which is the main part of the thesis.
