Study On The Application Of Law Of Cross-border Securitization

Based on the reference to legislation in other countries and practice at home and abroad, this dissertation is intended to explore the application of law of cross-border securitization, which consists of four chapters.Some basic concepts and theories are discussed in chapter I. Despite the heated debate on the definition of the term"securitization", this dissertation holds that it's unnecessary and impossible to define accurately such an ever-developing phenomenon with rich contents. In addition, this dissertation introduces the concept and character, participants and procedures respectively.The application of law of cross-border securitization is disscussed in macro-level from substantive law in chapter II. Based on the introduction to the uniform substantive law and the parties'law,this chapter points that it is appropriate to perfect the parties'law on the base of every country's conflict rules when the uniform substantive law is not made.Chapter III is about the micro application of law of cross-border securitization from conflict laws. Upon the disscussion of the application of law of cross-border assets assignment and asset-backed securities relating to issuing and trading, the writer proposes some advices.Chapter IV dicusses the current assets sucurities situation in China, and pointes out the corss-border securitization is feasible way to deal with the problems of assets securities in China. The dissertation brings forward several specific suggestions on how to improve our legislations.
