Small Shareholders Legal Protection In The Marketed Company

Shareholder's protection is an endless and realistic topic. It has being attracted more and more attention, especially after the amendment of the company law and the security law. It's not only related to healthy development of the capital market and shareholder's own benefit, but also related to the progress of market economy and collaboration of all society. From the angel of protecting small shareholders, comparison, adduction, analysis and reasoning has been used in this thesis to probe into such topic.This thesis can be divided into five chapters. Chapter one is the theoretical basis of shareholder's protection. It first defines the shareholder and the small shareholder, then it analyses the definition, importance and necessity of small shareholder's protection from three aspects involving theoretical basis, economical basis as well as the basis of redress by litigation.Chapter two reviews the small shareholders protection in the marketed company of our country. Based on concluding as many as 13 kinds of tort embodiments in the marketed company, this part analyses the deep reason and acts as a clue to solve it.Chapter three tells the influences to small shareholder's protection after the amendment of the company law and the security law. Comparing with the two old laws, it lists and expounds many new advices to protect small shareholders.Although compared with the old ones, the broad amendment of the company law and the security law has incomparable logic and advance, the shortcomings of written law is unavoidable. Comparing those relative regulations in the amendments with foreign countries, it considers both from the system design and operation of it.Chapter four and chapter five analyses the weak points of laws in effect to protect small shareholders, above which this part put forwards the ways to solve, hoping that it could be useful to perfect the system of shareholder's protection.
