Dissertation Concerning The Rule And Regulation Of International Indirect Bank Group Loan

The international indirect bank group loan is the more sophisticated legal relationship than the international direct bank group loan, and because the ambiguous legal relationship between the parties, even in the US and Europe, here the bank group transaction is advanced, the judgement is distinct with each other. This dissertation, based on the cases of US and UK and combined with the relevant legal regulation of our country, analyzes the transfer manner of the international bank group participation right and the legal relationship between parties under various transfer manners with referring to the problem of loan security developed on the basis of participation right transfer. Herein, this dissertation is aimed to define the legal relationship between various parties through analysis cases and theories and to reduce the possibility of dispute and furthest realize the benefit of the parties through the definite stipulation of the relationship between each other in advance based on the analysis herein.This dissertation is containing the following sections: the prologue is the introduction of the content, aim and meaning of this dissertation; the second section is the analysis of the legal characteristic of international bank group loan and the difference compared with the direct bank group loan; the third part is introduction of the four transfer manners of indirect bank group participation and the possible dispute, settlement method and the definition of the right and responsibility relationship under various manners; the fourth section is concerned about the problem of loan security including the modes of the negotiable loan facility and special intention entity. The last section is the conclusion and the suggestion as to regulate bank group loan.
