Offshore company is a kind of special purpose company that is mainly set up by investors from other countries and districts at the given offshore center according to the local special company law, its business operation can take place anywhere in the world except the given offshore center. This article focus on the offshore company registered at the typical offshore. Along with the world economy integrity, the offshore company exhibits more advantages which a common company does not have, so it is becoming the first choice for international operators. But offshore companies also bring some negative effects, such as revenue loss, capital fleeing etc, to some countries or districts .With China entering into WTO, its impact on china is becoming farther and farther so it is significant to strengthen the research on some legal questions concerning offshore companies.In this article, the author firstly discusses some basic problems and theories concerning offshore companies, so as to make preparations for further research. Then, basing on the discussions above, the author chooses three best important problems, which are revenue-avoidance, foreign-financing, foreign-investment, among legal problems in the course of operating offshore companies to discuss. In the last two sections, the author introduces the development of offshore companies in China, and its influences on China. Then the author concludes out our country's regulating emphases and puts forward some suggestions for the regulation.
