Study On The Improvement Of The Independent Director System Of China

The establishment of the system of independent directors of listed companies in China will help to improve the corporate governance structure. However, the implementation result shows that the independent director system in our country did not bring the anticipant effect. Controlling shareholders pf listed companies still seriously abuse their authority and violate the interests of companies and the minority shareholders. Therefore, we cannot overall imitate the independent director system of Great Britain and America. We should reform the independent director system according to the actual situation of our country, and explore a new system of independent director which is suitable for the situation of our country. Based on this viewpoint, the author focuses on the independent director's professionalism to launch the research.In order to improve the independent director system, we should first focus on the improvement of"Independency"of independent directors. After an overall review of current research theories on this field, the author believes that in order to resolve the problem that independent directors are not independent the professionalism of independent directors is an effective way. In this article, the author will analyze the establishment, development and the implementation results of independent director system. Considering the current situation of China, the author makes some suggestions on how to improve this system and how to realize the professionalism of independent directors, and hopes these suggestions may enlighten the setting up of modern corporate system and the corporate governance of companies in China.
