| The formation of one-man company is by no means accidental.It is the inevitable result of China's socio-economic development.Our new Corporation Law has given the one -man company a clear legal status,which will improve our companies legal system, and promote the healthy development of China's companies.However,the new Corporation Law has been implemented for more than two years,one-man company did not appear the effect which people are looking forward to.Therefore,this article attempts to analyse the defects and shortcomings of our country one-man company's legal system from the angle of benefit balance legislation idea and form present situation of our country one-man company.This article improves the relevant proposals with a view for further improving China's one-man company legal system.This article is divided into four parts to conduct the research to our country one-man company's legal system:The first part has carried on the outline to the domestic and foreign legislation idea of Corporation Law,and focus on influence of benefit balance idea to one-man company's legal system.The second part has made the analysis to present situation and legislation condition of our country One-man company,and has discussed the reason about hindering the healthy development of our country our One-man company,and has carried on the analysis and the criticis to the defects of our country One-man company system.The third part has proposed the overall mentality to consummates our country One-man company system,and has made a number of recommendations to improve Chinese one-man company's legal system from relaxing to One-man company's control and strengthening the independence between One-man company and the shareholder respective.And it has carried on the narration to the concerned suggestion of our country scholar.The fourth part has put forward to the related rules and proposal regulations on the latter one-man company and substantive one-man company.
