One of the important features of modern market economy is to uphold the rule of law by taking law as the predominant means to control and regulate economic operation. The appearance of Company Law of the People's Republic of China (hereinafter referred to as"Company Law") offers legal norms for incorporating China's enterprises. With China's accession to the WTO and its deepening of reform, more and more legal documents have been or are being translated into English and introduced to the world.Sarcevic put forward her famous idea that legal translation is the act of communication in the mechanism of law. She emphasizes the active role of the translator in legal communication. In the process of translation, the translator takes the charge of the comprehension and interpretation of source language, which he attempts to convey. The translator decides what lexical items to be used to achieve its effect among the target language community. Based on this theory, this thesis presents a tentative study of the features of legal documents by making comments on the English version of Company Law of the People's Republic of China.The thesis is divided into five chapters. Chapter 1 is the general introduction to Company Law of the People's Republic of China, its content and the importance of its translation into English. Chapter 2, the author enumerates general theories on translation and put forward the typical criteria for the major analysis. Chapter 3 the author analyzes some features in the lexicon, syntax and style of legal English,e.g. the use of terminologies and archaic words, and massive use of complex sentenses. Chapter 4 points out some improper translations. The conclusion summarizes the whole thesis hoping that this thesis can be worthy of the effort in the research of legal translation.
