The Study On The Legal System Of The Expulsion Of The Limited Liability Company

There are many troublesome problems to solve the internal conflicts of shareholders because of the close corporation problem in the limited liability company (LLC) in every domestic laws. One of them is how to solve the problem when "centrifugal shareholders" appear in the company. For this reason, a substitute system of judicial dissolution was formed in many countries - the legal system of expulsion. Since it meets the needs of the community and becomes an important system in resolving the internal conflicts of shareholders abroad. Because practices and studies are late in our country, this system begins. However, our country is also urgent to solve the internal conflicts of shareholders in LLC. Therefore it is my purpose to respond the needs of reality. I study the legal system of expulsion in generally using the research methods of the empirical analysis, historical analysis, comparative analysis and so on. Hope that the legal system of expulsion in LLC can be built in our country.This article is divided into three parts: introduction, body and conclusion. The first part is introduction, from the perspective of practice, it is necessary to set up the legal system of expulsion in LLC and explain the purpose of writing. The second part is body, which contains the basic issues of the expulsion, theoretical foundations, comparative study, and foundation of the legal system of expulsion in LLC in our country. The third part is conclusion, which summarizes the article. Think that our country should build the legal system of expulsion in LLC as soon as possible. If it is not actual in short time, it is necessary to meet the needs of reality through the legislative interpretation.
