Research On Civil Liability Of Independent Directors

The system of independent directors was officially introduced to our country seven years ago. In the past years, the system played a vital role, but the practical operation effect remains to be improved. One of the important restricting factors is the serious defect of the design and implement of the independent directors'legal liability especially civil liability. Combining the legislation and practice at home and overseas, and starting from analyzing the base of bearing civil liability, this article systematically researches the constitutive elements, exemption and limitation, realization of independent directors'civil liability. Based on the researches, this article puts forward the principles and concrete measures to improve independent directors'civil liability, so as to offer some help for the further legislation and judicial practice.
