As the essential obligation in contract law system, the Collateral obligation is developed on the basis of good faith. With the function of balancing the benefits between the parties and maintaining a safe transaction environment . There also exist the implied terms in common law, with the legal nature is similar to the collateral obligation. This indicates that the collateral obligation has becoming an important legal mechanism in the contract system. The"United Nations Convention on Contracts for the International Sale of Goods" (CISG) is a significant convention in international trade. This research is about the collateral obligation in international goods sales contract.Three Chapters are included in this dissertation except the preface and the conclusion.The first Chapter is about the basic theory of the collateral obligation in contract. With a definition of the collateral obligation in Section 1 and the regulation of collateral obligation in civil law and common law in Section2 .The Chapter II is about the legislative features of the collateral obligation in CISG and analyze the collateral obligation in the real international trade practice.At the end of this dissertation, the author has put forward specific legislative proposals to the collateral obligation in Chinese contract law.
